Archer Petroleum Arranges Convertible Note Offering

VANCOUVER, Mar 25, 2014 - Archer Petroleum Corp. (TSX VENTURE:ARK) ("Archer" or the "Company") announces that it has arranged a private placement of a convertible note in the principal amount of CDN$180,000 (the "Note") with an insider of the Company, Global Resource Investment Trust, plc (the "Offering"). The Note will mature 24 months from the date of issuance and will bear interest at 11% interest per annum, with interest payable every six months. The Note principal may be converted into up to 900,000 common shares of the Company (each, a "Share") at a rate of CAD$0.20 per Share. Interest payable during the first year from the issuance of the Note may be payable, at the election of the Company, in Shares, at a conversion price to be based on the 30 day VWAP of the Shares during the month preceding such interest payment. In the event that the Shares have a closing price on the TSXV (or such other exchange on which the Shares may be traded at such time) of greater than $0.30 per Share for a period of 20 consecutive trading days at any time after six months from the date hereof, the Company may, without prior notice to the purchaser, deliver to the purchaser certificates representing such part of the principal amount of the Note and accrued interest thereon as the Company, in its sole discretion, may wish to satisfy by conversion into Shares, at the conversion price specified.

All securities issued in connection with the Offering will be subject to a hold period of four-months plus one day from the date of issuance of the Note. Completion of the Offering is subject to various conditions including receipt of the approval of the TSX Venture Exchange. The proceeds from the convertible note are expected to be used for working capital purposes.
