Compass Petroleum Ltd. Announces Mailing of Meeting Materials with Respect to the Previously Announced Plan of Arrangement Involving Whitecap Resources Inc.
CALGARY, ALBERTA -- (Marketwire - Jan. 9, 2012) - Compass Petroleum Ltd. (“Compass“ or the “Corporation“) (TSX VENTURE: CPO) is pleased to announce that it has obtained an interim order of the Court of Queen's Bench of Alberta providing for, among other things, the holding of a meeting (the “Meeting“) of its shareholders at which shareholders will be asked to consider, and if thought fit approve, the previously announced arrangement involving Whitecap Resources Inc. (the “Arrangement“). A management proxy circular (“Proxy Circular“), instrument of proxy and letter of transmittal and election form (the “Letter of Transmittal“) relating to the Meeting and the Arrangement have been mailed and will be available for viewing electronically under the Corporation's profile on the SEDAR website at www.sedar.com. The Meeting will be held at the offices of the Corporation's counsel, Bennett Jones LLP, 4500, 855 - 2nd Street, S.W., Calgary, Alberta, at 9:30 a.m. (Calgary time) on Thursday, February 9, 2012.
Compass Shareholders are urged to carefully review the Proxy Circular and accompanying materials, including the Letter of Transmittal, as they contain important information concerning the Arrangement and the rights and entitlements of the Compass shareholders in relation to the Arrangement.
Subject to the receipt of all applicable approvals and the satisfaction or waiver of all closing conditions, the Arrangement is scheduled to close on February 10, 2012.
