Aurora Oil & Gas Limited - Transaction update

PERTH, Western Australia, May 5, 2014 /CNW/ - Aurora Oil & Gas Limited (ASX:AUT, TSX:AEF) (Aurora) is pleased to confirm that, further to its announcement on 23 April 2014, for the purposes of Canadian requirements the Toronto Stock Exchange (TSX) has granted an extension of the period of time in which Aurora must hold its annual general meeting (AGM) for its financial year ended 31 December 2013. Pursuant to the extension granted by TSX, the latest date on which Aurora may hold its AGM has been extended from 30 June 2014 to 31 July 2014. The Australian Securities and Investments Commission granted similar relief on 22 April 2014.


Timetable update*

Aurora also wishes to advise that, further to the indicative timetable set out in the Scheme Booklet in respect of the proposed Scheme, the timetable has now been updated. The Scheme Implementation Date is now expected to be one day later, 11 June 2014. Set out below is an updated timetable for the Scheme:

Effective Date	27 May 2014
Scheme Record Date	3 June 2014
Implementation Date	11 June 2014

If the Scheme is approved by the requisite majority Aurora shareholders and the Court and the Scheme becomes effective, then:

- trading in Aurora's shares is expected to be suspended on ASX from the close of trading on 27 May 2014. Trading in Aurora's shares is expected to be suspended on the TSX immediately prior to the opening of trading on 27 May 2014 (Toronto time), to ensure suspension is effected concurrently on both exchanges; and

- following the Implementation Date, Aurora is expected to be removed from the official list of ASX and quotation of its shares on ASX is expected to cease by the close of trading on 12 June 2014. Similarly, Aurora is expected to be removed from the official list of TSX and quotation of its shares on TSX is expected to cease immediately prior to the opening of trading on 12 June 2014 (Toronto time), to ensure Aurora's ASX and TSX delisting is effected concurrently on both exchanges.

*All dates in this announcement relating to the Scheme timetable are indicative only and are subject to the Court approval process, ASX approval and the satisfaction or, where applicable, waiver of conditions under the Scheme Implementation Deed announced on ASX on 7 February 2014.
