Nevada Organic Phosphate Announces Compensation Share Issuance

Vancouver, April 14, 2026 - Nevada Organic Phosphate Inc. (CSE: NOP) (OTCQB: NOPFF) ("NOP" or the "Company"), a B.C. based leader in organic sedimentary phosphate exploration, announces that on February 1, 2026, it entered into an agreement for services related to equity research on the Company in the form of research notes and introductions to sell-side and buy-side equity analysts in the fertilizer sector. In connection therewith the Company has incurred fees $7,435 which may be paid in common shares of the Company (each a "Share") upon mutual agreement. On April 13, 2026, the Company entered into a consulting agreement for services related to graphic design, branding, marketing materials, and website design. As partial consideration for services to be rendered over the term of the agreement and as an inducement to enter into the agreement, the Company has agreed to issue 300,000 common shares.

In connection with the two agreements the Company has agreed to issue an aggregate of 353,035 compensation Shares at a deemed price of $0.14 per Share. Accordingly, all the Shares will be issued pursuant to the prospectus exemption provided under Section 2.24 of National Instrument 45-106 - Prospectus Exemptions and are subject to a hold period of four months and one day.

NOP is a junior exploration company with an organic sedimentary raw rock phosphate bed, 6.6 kilometres long, in northeast Nevada.
