Sintana Energy Announces Filing of Final Prospectus

The Offering will be priced at $0.09 per Unit ("Offering Price") for minimum gross proceeds of approximately $1,600,000 and maximum gross proceeds of approximately $3,500,000, representing 17,777,777 and 38,888,889 Units respectively. Each Unit shall consist of one common share of Sintana and one-half of one share purchase warrant, with each whole share purchase warrant entitling the holder to acquire one additional common share of the Company at a price of $0.12 for a period of 12 months from the closing of the Offering.
The Offering is expected to close on or about December 16, 2014 and is subject to the Company receiving all necessary regulatory approvals, including the approval of the TSX Venture Exchange. The net proceeds of the Offering will be used to fund the Company's 2015 exploration and development programs and for general corporate purposes. The Company shall pay to the Agents a cash commission equal to up to 6% of the gross proceeds of the Offering, calculated on sales of Units outside of the United States, and shall issue broker warrants entitling the Agents to acquire, in the aggregate, such number of common shares of the Company as is equal to up to 6% of the aggregate number of Units sold pursuant to the Offering, calculated on sales of Units outside of the United States, at the Offering Price for a period of 12 months.
