Standard Uranium Announces LIFE Offering

Vancouver, May 11, 2026 - Standard Uranium Ltd. (TSXV: STND) (OTCQB: STTDF) (FSE: 9SU0) ("Standard Uranium" or the "Company") is pleased to announce it will offer up to 9,000,000 units of the Company (the "Units") at a price of $0.10 per Unit, pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 - Prospectus Exemptions, as amended by CSA Coordinated Blanket Order 45-935 - Exemptions from Certain Conditions of the Listed Issuer Financing Exemption (collectively, the "Listed Issuer Financing Exemption") for aggregate gross proceeds of up to $900,000 (the "Offering"). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws.
Each Unit will consist of one common share of the Company (each, a "Share") and one-half-of one common share purchase warrant (each whole common share purchase warrant, a "Warrant"). Each Warrant will entitle the holder to acquire an additional common share of the Company at a price of $0.15, commencing on the 61st day after the closing date of the Offering (the "Closing Date") until 36 months from Closing date. The Warrants are subject to an accelerated expiry if, any time after the date that is 61 days following the Closing Date, the closing price of the common shares of the Company on the TSX Venture Exchange ("TSXV"), or such other market as the common shares may trade from time to time, is or exceeds $0.30 for ten (10) consecutive trading days, in which event the holders of the Warrants may, at the Company's election, be given notice and the Company will issue a press release announcing that the Warrants will expire five (5) days following the date of such press release. The Warrants may be exercised by the holder of the Warrants during the 5-day period between the date of the press release announcing the accelerated expiry date and the expiration of the Warrants.

The Company anticipates paying finders' fees to eligible parties who have assisted in introducing subscribers to the Offering. The Company anticipates the net proceeds raised from the Offering will be used for the exploration of the Company's Davidson River project and for working capital purposes. Completion of the Offering, remain subject to the approval of the TSXV.

Standard Uranium's Sun Dog project, in the northwest part of the Athabasca Basin, Saskatchewan, is comprised of nine mineral claims over 19,603 hectares. The Sun Dog project is highly prospective for basement and unconformity hosted uranium deposits yet remains largely untested by sufficient drilling despite its location proximal to uranium discoveries in the area.
