Aker Solutions ASA: Minutes Extraordinary General Meeting

August 12, 2014 - Aker Solutions ASA has today held an Extraordinary General
Meeting. Please find the minutes from the meeting attached.

All proposals on the agenda were adopted, cf. the notice of the Extraordinary
General Meeting published on July 11, 2014, hereunder approval of the demerger
plan for the company. The proposed changes to the Board of Directors
(conditional upon completion of the demerger) and the nomination committee were
approved in accordance with the recommendation from the nomination committee.
The proposed amendments to the articles of association were adopted, however so
that the amendments to sections 2 and 9 also are conditional on completion of
the demerger.

All documentation pertaining to the Extraordinary General Meeting, including the
minutes of meeting in both Norwegian and English, are available on
