TORONTO, Dec. 20, 2017 (GLOBE NEWSWIRE) -- BPGlobal Resources Limited announced that it, together with several other purchasers (collectively, the “Offerors”), have entered into an agreement to acquire 3,400,833 common shares (the “Shares”) of Tiller Resources Ltd. (“Tiller”) and 4,500,000 common share purchase warrants of Tiller (the “Warrants”, together with the Shares, the “Securities”), representing 63.80% of the issued and outstanding Shares, on a fully-diluted basis (the “Purchase”), including the Shares of which the Offerors currently hold, described below. Each Warrant entitles the holder thereof to acquire one common share of Tiller at an exercise price of $0.10 and expiring on January 18, 2018. The Offerors will acquire the Securities for an aggregate purchase price of $315,000. Certain of the Offerors held a total of 843,750 Shares, taken together, prior to entering into the agreement. The Offerors expect the Purchase to close on or about December 22, 2017.
The Purchase is being made for investment purposes. The Offerors may purchase additional common shares of Tiller in the open market, by private agreement or otherwise subject to their availability at attractive prices, market conditions, applicable laws and other relevant factors.
The Offerors intend to file a report describing the above transaction with applicable regulators, a copy of which shall be sent promptly to anyone who requests it from the persons noted below.
