(TSX VENTURE: CLB)(PINK SHEETS: ECRTF)(FRANKFURT: EAT) ('Colombia Crest'; the 'Company') is pleased to announce that IAMGOLD Corporation ('IAMGOLD') has entered into a Letter Subscription Agreement with the Company pursuant to which IAMGOLD has agreed to purchase 12,000,000 units (each a 'Unit') at the price of Cdn$0.285 per Unit, for gross proceeds of $3,420,000. Each Unit will be comprised of one common share and one-half of a share purchase warrant (each full warrant a 'Warrant'), and each Warrant will entitle the holder to purchase one additional Share (a 'Warrant Share') for Cdn$0.35 for two years after closing. The Letter Subscription Agreement also provides for technical input from IAMGOLD on the Company's upcoming exploration programs in Colombia, and grants to IAMGOLD certain anti-dilution rights in the event that the Company conducts further financings during the three years after closing, or in the event that outstanding options and warrants increase the Company's outstanding share capital by 5% or more. Completion of the Private Placement is subject to acceptance by applicable securities regulatory authorities including the TSX Venture Exchange. No finder's fee will be payable in connection with the financing.
