Cardiff Energy Corp. (the "Company") (TSX-V: "CRS"), wishes to announce that it has agreed to issue up to 7,000,000 Units at $0.15 per Unit, each Unit consisting of one common share and one transferable share purchase warrant. One warrant will be exercisable for one additional common share at $0.20 per share during the first year and $0.30 per share during the second year. The proceeds derived from the total 7,000,000 Unit private placement will be used for drilling and completion of the Clayton #1 H and general working capital purposes. Insiders of the Company will subscribe for a minimum of 3,500,000 Units of the financing. This transaction is subject to TSX Venture Exchange approval.
