FOREIGN INVESTMENT REVIEW BOARD ("FIRB") APPROVAL

One of the regulatory conditions of the proposed combination of St
Barbara Limited and Allied Gold Mining Plc was to obtain Foreign
Investment Review Board ("FIRB") approval for the transaction. This
approval has been received.

Accordingly, the condition set out in Part Three, sub-part A, clause 3
(d) on page 49 of the Scheme Booklet (which was released on ASX on 18
July 2012) has been fulfilled.
