BMEX Gold Inc. (TSXV: BMEX) (FSE: 8M00) ("BMEX" or the "Company") announces that the Company will change its name to "Route 109 Resources Inc." effective October 4, 2024 (the "Effective Date"). At the opening of the market on the Effective Date, the trading symbol of the Company will change from "BMEX" to "RTE", and the new CUSIP and ISIN numbers of the Company will be 779291103 and CA7792911033, respectively.
The Company's name change does not affect the rights of its shareholders and shareholders will not be required to take any action in connection with the name change of the Company. Issued share certificates, DRS, or any other types of securities (such as warrants, options, RSUs, etc.) will not be affected by the name change of the Company and will not need to be returned or exchanged. The Company encourages shareholders to contact their brokers or agents with any questions or concerns with respect to the name change of the Company.
The Company further advises that in connection with the closing of its recent private placement announced on August 6, 2024, an insider of the Company acquired an aggregate of 170,000 units, and as such a portion of the private placement constituted a related party transaction. The Company relied on the exemptions provided in sections 5.5(b) and 5.7(1)(b) of Multilateral Instrument 61-101 in respect of the valuation and shareholder approval requirements of that instrument.
