U.S. Energy Corp. Announces Second Quarter 2022 Financial and Operating Results

HOUSTON, Aug. 11, 2022 - U.S. Energy Corp. (NASDAQCM: USEG) (“We”, “U.S. Energy” or the “Company”) today announced financial and operating results for the second quarter ended June 30, 2022.


Quarterly Highlights and Recent Developments

- Oil and gas revenues of $13.5 million, an increase of 714% from the comparable period of 2021.

- Production of 162,230 barrels of oil equivalent (“BOE”), or daily production of 1,783 BOE per day (“BOEPD”), an increase of 406% from the comparable period of 2021.

- Mid-year 2022 Proved Developed Producing (“PDP”) reserves of 8.0 Mmboe (66% oil).1

- Mid-year 2022 PDP present value of estimated future net revenues before income taxes, discounted at 10% (“PV-10”) of $167.1 million using current SEC pricing.1

- Adjusted EBITDA2 of $5.1 million. Adjusted EBITDA is a non-GAAP financial measure and is reconciled to GAAP below.

- Announced a highly accretive acquisition of operated, gas-weighted assets in Henderson and Anderson counties, Texas. The transaction closed on July 27, 2022.

Second Quarter 2022 Production Update

For the three months ended June 30, 2022, we produced 162,230 BOE, or an average of 1,783 BOEPD, as compared to 32,073 BOE or 352 BOEPD during the comparable period in 2021. U.S. Energy’s production growth has primarily been driven by the integration of operated assets acquired in January 2022 and the Company’s efforts in optimizing legacy production operations.

Estimated Proved Reserves at July 1, 2022 at SEC Pricing

As shown in the table below, the Company's estimated total proved reserves at July 1, 2022, which were prepared in accordance with Securities and Exchange Commission ("SEC") guidelines by an independent petroleum engineering firm, were approximately 8,103 Mboe with a present value of estimated future net revenues before income taxes, discounted at 10% (“PV-10”) of $174.1 million at July 1, 2022 using current SEC pricing of $85.78 per barrel of oil and $5.13 per thousand cubic feet of natural gas. Please note that the Company’s recent East Texas acquisition is included in the mid-year reserve report shown below.

Second Quarter Ended June 30, 2022 Financial Results

Revenues from sales of oil and natural gas during the second quarter of 2022 were $13.5 million compared to $1.7 million during the comparable period of 2021. The change in revenue was primarily attributable to an increase in oil production volumes from the properties acquired in January 2022 and an improvement in realized commodity prices. Revenue from oil production represented 84% of our revenue during the quarter.

During the second quarter of 2022, we realized an average oil sales price of $105.09 per Bbl and an average gas and liquids sales price of $6.58 per Mcfe for an overall average sales price of $83.09 per BOE compared to an average oil sales price of $62.59 per Bbl and an average gas and liquids sales price of $3.10 per Mcfe for an average sales price of $51.62 BOE during the comparable period of 2021.

Lease operating expenses during the second quarter of 2022 were $4.6 million compared to $0.5 million during the comparable period of 2021. The increase in lease operating expenses was due to increased activity as the result of the properties acquired in January 2022 combined with overall service cost and materials inflation.

General and administrative (“G&A”) cash expenses totaled $2.0 million during the second quarter of 2022, primarily related to increased employee headcount following the Company’s January 2022 transaction. Non-cash stock-based compensation totaled $0.6 million for the quarter.

Net income was $0.1 million and Adjusted EBITDA was $5.1 million for the second quarter of 2022. Adjusted EBITDA is a non-GAAP financial measure and is reconciled to GAAP below.


Second Quarter Ended June 30, 2022 M&A and Subsequent Activity

On May 3, 2022, the Company acquired operated oil and gas producing properties in Liberty County, Texas, adjacent to its existing assets in the area, for $1.0 million in an all-cash transaction. The effective date of the transaction is April 1, 2022. The producing, oil-weighted assets include the Panther City Pipeline and associated gas gathering infrastructure.

On June 30, 2022, the Company announced that it entered into an agreement to acquire approximately 16,600 net acres and certain wells and gathering systems located in Henderson and Anderson Counties, Texas. The transaction closed on July 27, 2022, with an effective date of June 1, 2022. The all-cash purchase price was $11.875 million, less purchase price adjustments. The operated, gas-weighted assets are adjacent to existing assets of the Company.


Shareholder Returns

Consistent with U.S. Energy’s stated strategy of meaningful capital returns to shareholders, on July 18, 2022, the Company’s board of directors declared a $0.0225 per share dividend for shareholders of record as of August 8, 2022. The dividend will be paid by U.S. Energy on August 22, 2022. Subject to board approval, U.S. Energy intends to pay a quarterly dividend on a continuing basis.
