Inventus Mining Closes $1M Flow-Through Private Placement With Eric Sprott

TORONTO, May 22, 2025 - Inventus Mining Corp. (TSX VENTURE: IVS) ("Inventus" or the "Company") is pleased to report that it has closed a non-brokered private placement of 8,000,000 flow-through shares within the meaning of the Income Tax Act (Canada) ("FT Shares"), which were sold at $0.13 per FT Shares for gross proceeds of $1,040,000 (the "Private Placement"). Mr. Eric Sprott was the sole subscriber in the Private Placement.
The Private Placement of the FT Shares is subject to the receipt of all required corporate and regulatory approvals including the approval of the TSX-V. All securities issued and issuable pursuant to the Private Placement will be subject to a four month and one day statutory hold period.
Eric Sprott, acquired 8,000,000 FT Shares pursuant to the Private Placement, at $0.13 per FT Share for total consideration of C$1,040,000. Prior to the Private Placement, Mr. Sprott beneficially owned and/or controlled 13,549,833 Shares, representing approximately 6.9% of the outstanding Shares on a non-diluted basis. As a result of the Private Placement, Mr. Sprott now beneficially owns and/or controls 21,549,833 Shares, representing approximately 10.6% of the outstanding Shares on a non-diluted basis.
The securities are held for investment purposes. Mr. Sprott has a long-term view of the investment and may acquire additional securities including on the open market or through private acquisitions or sell the securities including on the open market or through private dispositions in the future depending on market conditions, reformulation of plans and/or other relevant factors.

Proceeds of the Private Placement will be used to incur "Canadian exploration expenses" as defined in subsection 66.1(6) of the Income Tax Act and "flow-through mining expenditures" as defined in subsection 127(9) of the Income Tax Act. Such proceeds will be renounced to the subscribers with an effective date not later than December 31, 2025, in the aggregate amount of not less than the total amount of gross proceeds raised from the issue of the FT Shares.
The Company intends to use the proceeds of the Private Placement to fund exploration at its Pardo and Sudbury 2.0 projects.
