Touchstone Announces Closing of Canadian Private Placement

CALGARY, December 13, 2022 - Touchstone Exploration Inc. (the "Company") (TSX, LSE:TXP) announces the closing of its previously announced Canadian private placement of 8,704,400 common shares of the Company at C$0.90 per common share for gross proceeds of C$7.8 million on the same terms as were provided in the Company's news releases dated December 5 and December 6, 2022. The new common shares issued in connection with the private placement have been conditionally approved for trading on the Toronto Stock Exchange and will be admitted to trading on the AIM market of the London Stock Exchange on December 14, 2022.

Beacon Securities Limited and Canaccord Genuity Corp. acted as co-lead agents in connection with the private placement on behalf of a syndicate of agents including Cormark Securities Inc.
