Tortola BVI - Van Hoof Industrial Holdings Ltd. (“VHIH”) of Tortola, British Virgin Islands has purchased 416,666 units of
NSX Silver Inc. (NSY.H:TSXV) (“NSX Silver”) at a price of $0.06 per unit by way of private placement. The foregoing common shares represent in the aggregate 4.3% of the issued and outstanding common shares of NSX Silver. Each unit is comprised of one common share of NSX Silver and one common share purchase warrant. Each common share purchase warrant entitles the holder to acquire one additional common share of NSX Silver at a price of $0.12 until August 16, 2017.
Immediately following the closing of the private placement, VHIH directly and indirectly owns or controls the following NSX Silver securities: (i) 733,066 common shares, representing approximately 7.6% of the issued and outstanding common shares of NSX Silver, and (ii) common share purchase warrants in respect of 416,666 common shares. Assuming the exercise of all warrants held by VHIH, it would own 1,149,732 common shares, representing 11.5% of the NSX Silver common shares that would then be issued and outstanding.
VHIH is a private company controlled by Johannes H.C. van Hoof, Chief Executive Officer, Chairman and a director of NSX Silver. VHIH acquired the 416,666 common shares and warrants of NSX Silver for investment purposes, and may from time to time acquire ownership of, or control or direction over, additional securities of NSX Silver for investment purposes.
This news release is being issued under the early warning provisions of Canadian provincial securities legislation. VHIH has filed an early warning report in respect of the acquisition of the shares on SEDAR under NSX Silver’s company profile.
